Token Engine Terms of Service

1. Definitions

• Service: the Token Engine website at www.rstoken.ai, dashboard, unified API, SDKs, documentation and related features.
• Provider: any party that makes a large language model or other AI capability available through the Service, including (a) third-party providers; and (b) inference services operated by Token Engine or its affiliates ("First-Party Services").
• Inputs: prompts, files, images, audio, tool-call parameters and other content you submit through the Service.
• Outputs: content generated by a model in response to Inputs and returned to you.
• Credits: prepaid account balance used to pay for usage.
• End Users: individuals or entities that use the Service indirectly through your product.

2. Accounts and Security

1. You must be at least 18 years old, have full legal capacity, and provide true, accurate and complete registration information.
2. You are responsible for safeguarding your password and API keys. All requests made and charges incurred through your account or API keys are deemed yours, unless you notified us promptly and show that the misuse resulted from our fault.
3. If an API key is exposed or your account is compromised, revoke the key in the dashboard immediately and contact tokenservice@runsun.com.
4. We may require email, phone or business verification and may limit Credits or features for unverified accounts.
5. If you sign in with a crypto wallet, signing our sign-in message only proves that you control the wallet's address; it authorizes no transaction. We never ask for your wallet's private key or recovery phrase.

3. The Service

1. Token Engine is a model aggregation and routing platform. You call models from multiple Providers through a single API; we forward, route and fail over requests, and meter and bill usage.
2. Routing and fallback. Unless you specify a Provider or routing preferences in your request, we may route a request to any Provider serving the same model (including First-Party Services) based on price, latency, availability and similar factors, and automatically fall back on failure. We identify the Provider that actually served each request in the response or usage records.
3. First-Party Services. For endpoints labeled "Token Engine First-Party", we act directly as the inference provider and are bound by the additional commitments for First-Party Services in these Terms and the Privacy Policy.
4. Model availability, prices, context lengths and rate limits are as shown on the website at the time of use. Models may change or be withdrawn because a Provider discontinues or modifies them, or for compliance reasons.
5. Unless a separate written SLA applies, we do not guarantee any particular availability, latency or throughput.

4. Credits, Billing and Refunds

1. Prepaid. The Service is prepaid. Each request is charged against your Credits based on actual input/output tokens, requests or other units, at the unit prices published on the website at the time of the request.
2. Metering. Token counts are based on the usage reported by the Provider that served the request. Tokenizers differ between models, so the same text may yield different token counts.
3. Fees. Purchases may be subject to a platform fee or payment processing fee as shown at checkout. Prices exclude taxes unless stated otherwise, and you are responsible for applicable taxes, including Singapore GST where applicable.
4. Expiry. Purchased Credits expire 365 days after purchase; unused purchased Credits lapse on expiry. Promotional, trial or free Credits do not expire under this clause, and are not redeemable for cash or refundable. Each request is charged first against promotional, trial or free Credits, then against purchased Credits, oldest purchase first.
5. Refunds. You may request a refund of unused purchased Credits within 7 days of purchase. Consumed Credits, platform fees and payment processing fees are non-refundable. Refunds are issued to the original payment method. Mandatory law prevails.
6. Failed requests. Requests that return no valid Output because of a platform or Provider failure are not charged, or are credited back. Requests you cancel, that fail because of invalid parameters, or that are blocked by moderation may still be charged for the portion already processed.
7. Insufficient balance. Requests are rejected when your balance is insufficient. If your balance goes negative (for example through concurrent or streaming requests), you must top it up.
8. Chargebacks and fraud. We may freeze accounts and recover losses in cases of wrongful chargebacks, stolen payment methods or Credits obtained by fraud.
9. Price changes. We may change unit prices; changes apply only to requests made after they take effect.
10. Trial Credits. Trial Credits, where offered, require a verified email address and a payment card on file, and are limited to one per person and one per card.

5. API Keys and Integration

1. You may set spending limits, model allowlists and other restrictions on API keys, and you are responsible for them.
2. You may integrate the Service into your own products for End Users, provided that you: (a) are responsible for your End Users' conduct; (b) bind them to terms at least as protective as these Terms; and (c) do not expose API keys (for example in client-side code).
3. Without our written consent, you may not resell, rent or share API keys, or resell access to the Service to third parties as a relay or proxy service.
4. We may set and adjust rate limits and concurrency limits.

6. Acceptable Use

You may not use the Service to engage in, or help others engage in:

1. violating applicable law, sanctions or export controls, or using the Service from a sanctioned country or region;
2. generating or distributing child sexual abuse material, terrorist or violent extremist content, or content that infringes others' privacy or intellectual property;
3. developing malware, conducting cyberattacks, fraud, phishing, spam, or large-scale disinformation;
4. circumventing security measures, rate limits or billing, or registering multiple accounts to obtain free Credits;
5. reverse engineering, abusive load testing, or interfering with the normal operation of the Service;
6. violating the usage policies of the Provider whose model you call (see Section 7);
7. passing off Outputs as human-generated in order to deceive, or making decisions with significant effects on individuals in medical, legal, financial or other high-risk contexts without human review.

We may use automated tools to detect abuse and may warn, throttle, suspend or terminate violating accounts. Remaining Credits of accounts terminated for violations may be forfeited. Report abuse to tokenservice@runsun.com.

7. Third-Party Provider Terms

1. When you call a third-party Provider's model, you must also comply with that Provider's usage policies, license terms and content rules, which we will make reasonable efforts to link on the model page. Open-weight models are additionally subject to their licenses.
2. Third-party Providers operate independently. We make no warranty as to their model quality, availability or data handling, but we review their data policies when onboarding them and disclose on each model page whether the Provider retains data or trains on it.
3. You may exclude Providers that retain data or train on it through your account privacy settings or request parameters.
4. If a Provider requires us to stop serving a particular account, we may do so.

8. Inputs, Outputs and Intellectual Property

1. Your content. As between you and us, you retain all rights in your Inputs and, to the extent permitted by law and the applicable Provider terms, you own the Outputs.
2. License to operate. You grant us a non-exclusive license to process, transmit and cache Inputs and Outputs as necessary to provide the Service, including forwarding them to the selected Provider.
3. No training. Without your separate opt-in consent, we will not use your Inputs or Outputs to train or fine-tune First-Party models.
4. Your warranties. You represent that you have all rights necessary to submit your Inputs and that they do not infringe any third party's rights.
5. Nature of Outputs. AI Outputs may be inaccurate, incomplete, biased or similar to Outputs generated for others. You are responsible for evaluating Outputs and for the consequences of using them.
6. Our rights. The Service, its software, documentation, data, and the "Token Engine" name and logos belong to us or our licensors. We may use any feedback you provide without obligation to you.
7. Infringement notices. Rights holders who believe content on the Service infringes their rights may send a notice to tokenservice@runsun.com.

9. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy of Outputs and uninterrupted operation. We are not responsible for the acts or omissions of third-party Providers.

10. Limitation of Liability

1. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill.
2. Our total aggregate liability under these Terms will not exceed the greater of (a) the amounts you actually paid us in the twelve months before the event giving rise to the claim; and (b) US$100 or equivalent.
3. These limitations do not apply to losses caused by our fraud, wilful misconduct or gross negligence, or to liability that cannot be limited by law.

11. Indemnity

You will indemnify and hold harmless us, our affiliates and Providers from any claims, losses and costs (including reasonable legal fees) arising from (a) your or your End Users' breach of these Terms or applicable law; (b) your Inputs or your use of Outputs; or (c) your infringement of any third party's rights.

12. Suspension and Termination

1. You may stop using the Service and close your account in the dashboard at any time; unused Credits are handled under Section 4. Closing your account forfeits your remaining Credits, except unused purchased Credits you may still have refunded under Section 4.5; your data is then handled under the Privacy Policy.
2. We may suspend or terminate the Service if you breach these Terms, if there is a security or legal risk, or if required by a regulator, with prior notice where practicable.
3. If we discontinue the Service entirely, we will give at least 30 days' notice and refund unused purchased Credits.
4. Sections 4 and 8 to 13 survive termination.

13. Governing Law and Dispute Resolution

1. These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules.
2. The parties will first try to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation. If it is not resolved within 30 days, it will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its Arbitration Rules then in force. The seat of arbitration is Singapore, the tribunal consists of one arbitrator, and the language is English. The award is final and binding.
3. Nothing in this Section limits any non-waivable rights you have as a consumer under the laws of your place of residence.

14. General

1. Changes. We will give at least 15 days' notice of material changes by website notice or email before they take effect. Continued use after the effective date constitutes acceptance.
2. Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, network or cloud outages, Provider outages and government action.
3. Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
4. Severability and entire agreement. If any provision is invalid, the rest remain in effect. These Terms, the Privacy Policy and the prices and rules published on the website are the entire agreement. If a signed enterprise agreement conflicts with these Terms, the enterprise agreement prevails.
5. Language. If these Terms are published in multiple languages, the English version prevails.
